Audacieuse: Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Audacieuse AI Innovations Private Limited, a company incorporated in India (CIN U62099MH2024PTC432760, GSTIN 27ABBCA4314L1ZR), having its registered office at 1601, E3 Rutu Tower, Thane, Maharashtra 400607 ("Audacieuse", "we", "us", "our"). They govern your access to and use of our hosted software products, KiEo (creating, operating, and managing online stores) and GanitSy (GST and accounting tools), together with related websites, dashboards, APIs, and services (collectively, the "Platform"). You may subscribe to either product or both. Where a clause applies to only one product, it is marked accordingly (e.g. "KiEo only").

By creating an account, clicking "I agree", or otherwise accessing or using the Platform, you ("Merchant", "you") agree to these Terms, our Acceptable Use Policy, Billing & Refund Policy, Privacy Policy, and (where applicable) Data Processing Addendum, each incorporated by reference. If you do not agree, do not use the Platform.

If you use the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation.


1. The Platform and our role

1.1 What we provide. The Platform is a software-as-a-service offering with two products. KiEo lets you build and operate an online store, including store templates, product and order management, content tools, optional AI features, analytics, custom domains, and integrations (such as payment gateways). GanitSy provides GST and accounting tools, including returns preparation, ledgers, financial reports, and related compliance features. The products can interoperate (for example, KiEo orders flowing into GanitSy accounting).

1.2 Intermediary status (KiEo only). For KiEo storefronts, we are an intermediary and a technology provider. You are the seller and merchant of record for every transaction on your storefront. We do not buy, sell, own, store, ship, or take title to your products, and are not a party to the contract of sale between you and your customers ("Shoppers"). You are solely responsible for your products, pricing, descriptions, inventory, fulfilment, returns, refunds to Shoppers, taxes on your sales, and compliance with all laws applicable to your business. For GanitSy, we provide accounting and GST software only; you remain responsible for the accuracy of your books, filings, and tax positions.

1.3 Beta / new features. Features labelled beta, preview, or "coming soon" are provided as-is, may change or be withdrawn, and may be excluded from any service commitments.

2. Eligibility and accounts

2.1 You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872.

2.2 You must provide accurate, current, and complete registration information and keep it updated. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorised use at [email protected].

2.3 You are responsible for your users, staff, and anyone you authorise to access your account, and for their compliance with these Terms.

3. Subscriptions, fees, and AI credits

3.1 Access to paid plans, optional add-ons, and AI features is governed by the Billing & Refund Policy, which forms part of these Terms. In summary: plans renew automatically until cancelled; fees are non-refundable; cancellation stops the next renewal and access continues to the end of the paid period; AI credits are prepaid, metered, and non-refundable.

3.2 We may change plans, features, and pricing prospectively. Material changes to recurring fees will be notified before they take effect; continued use after the change takes effect constitutes acceptance, and you may cancel if you disagree.

4. Payments to you (KiEo storefront transactions)

4.1 (KiEo only.) Storefront payments are processed by third-party payment gateways (e.g. Razorpay) under your own gateway account and their terms. We do not hold, collect, or disburse Shopper funds on your behalf and are not a payment system or payment aggregator.

4.2 You are responsible for configuring your gateway, for chargebacks, disputes, and refunds to Shoppers, and for any fees charged by the gateway.

5. Acceptable use

You must comply with the Acceptable Use Policy. You are responsible for all content, products, and data you or your Shoppers submit through your store ("Your Content"), and you represent that you have the rights to use it and that it does not violate any law or third-party right.

6. Intellectual property

6.1 Our IP. The Platform (KiEo and GanitSy), its software, templates, designs, documentation, and all related intellectual property are and remain the exclusive property of Audacieuse and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform during your subscription, solely for your internal business use in accordance with these Terms.

6.2 Your Content. You retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (e.g. resize images, generate previews), and display Your Content only as needed to provide and improve the Platform and to comply with law.

6.3 Feedback. If you give us suggestions or feedback, we may use them without restriction or obligation to you.

6.4 Trademarks. "Audacieuse", "KiEo", "GanitSy", "ConfidentMe", and related marks are our property. You may not use them without our prior written consent.

7. AI features

7.1 The Platform may offer AI-assisted features (e.g. content and metadata generation, audits) using third-party AI models (such as Azure OpenAI, Google, or Anthropic).

7.2 No warranty on outputs. AI outputs are generated automatically, are provided "as is", and may be inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing, editing, and verifying any AI output before you use or publish it, and for ensuring it is lawful and not misleading.

7.3 You must not use AI features to generate unlawful, infringing, deceptive, or prohibited content (see the Acceptable Use Policy). AI usage is metered and billed as described in the Billing & Refund Policy.

8. Third-party services

The Platform integrates third-party services (payment gateways, domain registrars, AI providers, analytics, communications, etc.). Your use of those services is governed by their terms, and we are not responsible for them. We may add, change, or remove integrations.

9. Data protection

9.1 Our handling of personal data is described in the Privacy Policy.

9.2 (KiEo only.) Where you use KiEo to process personal data of your Shoppers, you are the Data Fiduciary / controller of that data and we act as your Data Processor; the Data Processing Addendum applies. You are responsible for providing all required notices to, and obtaining all required consents from, your Shoppers. For GanitSy, we process the financial and tax data you provide solely to operate the accounting and GST features for you.

10. Service availability and support

10.1 We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. The Platform is provided on an "as available" basis. Planned maintenance, updates, and circumstances beyond our reasonable control may affect availability.

10.2 Any specific availability or support commitments apply only if expressly stated for your plan or in a separate written agreement. Lower-tier and trial plans carry no service-level commitment.

11. Suspension and termination

11.1 By you. You may cancel at any time as described in the Billing & Refund Policy.

11.2 By us. We may suspend or terminate your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, fail to pay, create risk or legal exposure for us or others, or as required by law. Where practical and lawful, we will give notice and an opportunity to cure.

11.3 Effect of termination. On termination, your licence ends and your store goes offline. For a limited period after termination (see Privacy Policy / Billing Policy), you may export Your Content; thereafter we may delete it. Custom domains and third-party accounts remain yours to manage. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) will survive.

12. Disclaimers

To the maximum extent permitted by law, the Platform and all content and outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Platform will meet your requirements, be uninterrupted, secure, or error-free, or that defects will be corrected.

13. Limitation of liability

13.1 To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business, however caused, even if advised of the possibility.

13.2 To the maximum extent permitted by law, Audacieuse's total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the total fees you paid to us for the Platform in the three (3) months immediately preceding the event giving rise to the claim.

13.3 Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

You will indemnify and hold harmless Audacieuse, its affiliates, and their personnel from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) Your Content or products; (b) your storefront and your transactions with Shoppers; (c) your breach of these Terms or the Acceptable Use Policy; or (d) your violation of any law or third-party right.

15. Confidentiality

Each party may receive non-public information of the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice (e.g. by email or in-product). Changes take effect on the stated date; continued use after that date constitutes acceptance.

17. Governing law and dispute resolution

17.1 These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rights, the courts at Thane, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, that is, disputes between you and us.

17.2 (KiEo only.) These Terms are separate from the storefront buyer terms between you and your Shoppers. Any dispute between you and a Shopper arising from a storefront sale is governed by your own buyer terms and the Indian jurisdiction you set there (the courts of your city), not the Thane jurisdiction above. We are not a party to that contract or that dispute.

18. General

18.1 Entire agreement. These Terms and the documents incorporated by reference are the entire agreement between you and us regarding the Platform and supersede prior agreements on the subject.

18.2 Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.

18.3 Severability & waiver. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.

18.4 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

18.5 Notices. We may give notices via the Platform or to your account email. Notices to us go to [email protected].
